Welcome to Soleeactive.com! The terms “we”, “us” and “our” refer to Solée. Solée operates this store and website, including all related information, content, features, tools, products and services in order to provide you, the customer, with a curated shopping experience (the “Services”). Soleeactive.com is powered by Shopify, which enables us to provide the Services to you.
The below terms and conditions, together with any policies referenced herein (these “Terms of Service” or “Terms”) describe your rights and responsibilities when you use the Services.
Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.
By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy [LINK]. If you do not agree to these Terms of Service or Privacy Policy, you should not use or access our Services.
SECTION 1 - SCOPE OF APPLICATION
1.1 These Terms of Service apply to all sales of goods between Solée, registered with the ECB under number BE 0727.855.039, and the customer.
1.2 We reserve the right, in our sole discretion, to update, change, or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. We will notify you of any material changes to these Terms in accordance with applicable law, and such changes will be effective on the date specified in the notice. Your continued use of or access to the Services following the posting of any changes to these Terms of Service constitutes acceptance of those changes.
SECTION 2 - PRICE AND TERMS OF PAYMENT
2.1 The prices for goods shall be those set forth in our order confirmation. All prices are exclusive of taxes, impositions and other charges, including, but not limited to, sales, use, excise, value added and similar taxes or charges imposed by any government authority.
2.2 Prices, discounts and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email.
2.3 Title to goods delivered shall remain vested in us and shall not pass to you until the goods have been paid for in full. If you fail to pay any invoice within fourteen (14) calendar days of the due date of payment, we may retake the goods covered by the invoice. You must insure all goods delivered to their full replacement value until title to the goods has passed to you.
SECTION 3 - ORDERS AND ORDERING PROCESS
3.1 Solée is in charge of starting the production process as soon as the deposit payment from the client is received. We must receive and process your payment before your order is launched. Please review your order carefully before submitting, as we may be unable to accommodate cancellation requests after an order is accepted.
3.2 The client will receive a document, defined as a tech pack, displaying the key information for the customization of the product ordered by the client. The document includes information about the product, the customization technique, the color of the logo, the logo to put on the product and includes explanatory pictures. It is the client’s responsibility to review it in all its contents and to approve it. Once the client approves the document, Solée will confirm the production and can not be held liable for any errors resulting from mistakes made by the client.
SECTION 4 - TERMS OF DELIVERY
4.1 Unless expressly stated otherwise in our order confirmation, deliveries are typically conducted under INCOTERM CCI 2010 DAP (Delivered At Place) within the Schengen area. For deliveries outside the Schengen area, we generally use INCOTERM CCI 2010 DDP (Delivered Duty Paid) to ensure faster delivery of products. The associated fees will be estimated and invoiced to the client. If a delivery is refused or not accepted due to non-payment of such charges, the customer will bear all related costs.
4.2 We are not liable for shipping and delivery delays. All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, or events outside our control. Once we transfer products to the carrier, title and risk of loss passes to you.
4.3 We reserve the right to make delivery in installments.
SECTION 5 - INTELLECTUAL PROPERTY
5.1 Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video, and audio, and the design, selection, and arrangement thereof, are owned by Solée, its affiliates or licensors and are protected by EU patent, copyright and other intellectual property laws.
5.2 These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services without our prior written consent.
SECTION 6 - ACCEPTANCE OF GOODS
6.1 The client shall be deemed to have accepted all products unless the client notifies Solée in writing within fourteen (14) days of receipt of the goods that any item is defective, damaged, or non-conforming. After this period, no claim of any nature shall be entertained.
6.2 The customer may request the return of goods solely in the event that the goods do not strictly conform to the order placed. Any claim must be notified in writing within fourteen (14) days of receipt of the goods and must be supported by reasonable evidence (including photographs or other documentation clearly identifying the defective or non-conforming items).
Isolated or individual incidents (affecting fewer than ten percent (10%) of the total quantity delivered) shall not give rise to any right of return, refund, or compensation.
Where the client demonstrates that ten percent (10%) or more of the total quantity delivered is defective or non-conforming, Solée undertakes to refund fifty percent (50%) of the value of the affected goods. Any accepted return shall remain strictly limited to the non-conforming items duly evidenced, and no further compensation shall be granted beyond this limit.
6.3 To be eligible for a claim, the client must:
- notify Solée in writing within fourteen (14) days of the date of receipt of the goods;
- provide supporting evidence (photographs, description of defects, affected quantities);
- have stored and handled the goods in appropriate conditions.
No return, refund or compensation shall be accepted or granted in respect of goods that have been used, washed, altered, or handled in a manner inconsistent with their intended purpose.
SECTION 7 - RELATIONSHIP WITH SHOPIFY
7.1 Solée is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Soleeactive.com. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Soleeactive.com, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Soleeactive.com.
SECTION 8 - ERRORS, INACCURACIES AND OMISSIONS
8.1 Occasionally there may be information on or in the Services that contain typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information is inaccurate at any time without prior notice (including after you have submitted your order).
SECTION 9 - GOVERNING LAW
9.1 These Terms of Service and the relationship between the client and Solée shall be governed by the Belgian law, without regard to conflicts of laws provisions thereof. The sole jurisdiction and venue for actions related to the subject matter hereof shall be the French-speaking courts of the judicial district of Brussels.
9.2 Before undertaking any steps aimed at the judicial resolution of a dispute, the client and Solée undertake to attempt to resolve it amicably. To this end, they shall first contact each other directly, before resorting, where applicable, to mediation, arbitration, or any other alternative dispute resolution method.

10.1 The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.
